DataMantis provides technical contract optimization services for pest control companies using FieldRoutes software. Our services include:

• Converting PDF contracts to HTML format
• Mobile-responsive template development
• FieldRoutes system integration and formatting
• Contract template cleanup and standardization

Important: DataMantis provides technical formatting and implementation services only. We do not provide legal advice, draft legal language, or create contract terms. All legal content must be provided by the client and approved by their legal counsel.

2. Client Responsibilities

By using our services, you agree to:

• Provide accurate and complete information
• Supply all contract text, legal language, and terms
• Review and approve all deliverables before implementation
• Ensure your contract language complies with applicable laws
• Obtain necessary legal review of all contract content
• Make timely payments as agreed

3. Intellectual Property

Client Content: You retain all rights to your contract content, logos, and branding materials.

Our Work: Upon full payment, you receive a license to use the HTML templates and formatted deliverables we create for your internal business purposes.

Our Tools: DataMantis retains ownership of our proprietary tools, processes, and methodologies used to create deliverables.

4. Payment Terms

• Pricing is based on the service package selected
• A deposit may be required before work begins
• Final payment is due upon delivery of completed work
• Late payments may incur additional fees
• All fees are non-refundable once work has commenced

5. Revisions and Changes

Each service package includes a specified number of revision rounds. Additional revisions beyond the included rounds may be subject to additional fees. Major scope changes may require a revised quote.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• DataMantis is not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid for the specific service giving rise to the claim
• We are not responsible for the legal accuracy, enforceability, or compliance of client-provided contract language
• We are not liable for any issues arising from FieldRoutes software or third-party integrations

7. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that:

• Our services will meet all your requirements
• Our services will be uninterrupted or error-free
• Any contracts will be legally enforceable (this is the client's responsibility)

8. Indemnification

You agree to indemnify and hold harmless DataMantis from any claims, damages, or expenses arising from:

• Your use of our services
• Your contract content and legal language
• Your violation of these Terms
• Any third-party claims related to your contracts

9. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• Payment is due for all work completed
• You will receive deliverables for paid work
• Deposits for uncommenced work may be refundable at our discretion

10. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
